SPEAKER AGREEMENT

The undersigned speaker (“ Speaker ”) and MG Beauty, Inc. DBA The Bridal Masterclass Experience (“ TBME ”) hereby agree to the following terms and conditions (this “ Agreement ,” and together with the applicable TBME Terms of Agreement (the “ Terms of Agreement ”) agreed to by the Speaker, which are incorporated by reference herein, the “ Agreement ”):

SPEAKER ITEMS / EVENT . Each of the parties hereby agrees to provide the respective trade items in connection with the event(s) (“ Event ”) described in Annex I attached hereto.

INDEMNIFICATION . In consideration for the goods and services provided by TBME to Speaker as referenced in this Agreement, to the fullest extent permitted by law, the Speaker shall defend, indemnify and hold harmless TBME, its directors, officers, shareholders, employees, affiliates, agents, and representatives from and against any and all claims, demands, damages, liabilities, expenses, losses of every nature and kind, including but not limited to personal injury, property damage, death, attorney's fees and costs, arising out of or related to the negligent acts, misconduct, or omissions by Speaker, its agents, employees, subcontractors and consultants in connection with its obligations hereunder.

REFERENCES . If applicable, any use or display of materials with TBME’s (or any of its affiliates’) name, logo, branding, trademark, service mark, trade name or other identifying feature in any medium, now known or hereafter developed shall be subject to TBME’s prior written approval.

FULL AGREEMENT . This Agreement constitutes the full understanding of the parties. In the event of a conflict between any of the terms or conditions contained in this Agreement and the Terms of Agreement, it is expressly understood and agreed that: (i) with respect to performance at the Event, the terms of this Agreement shall govern and control, and (ii) with respect to any advertising services, products, or goods to be provided, delivered, or supplied by TBME, the Terms of Agreement shall govern and control.

GENERAL . The laws of the State of Delaware of the United States of America govern the validity of this Agreement, its interpretation and performance. This Agreement may not be modified or amended, except by a written agreement agreed to by both parties. This Agreement shall run concurrently with and shall not terminate or supersede any existing agreement between the parties unless specified herein. Furthermore, if any provision of this Agreement is found invalid, the remaining provisions are still effective.

TERMS AND CONDITIONS . Speaker understands TBME would be harmed and suffer loss if Speaker does not fulfill Agreement terms. In the event Speaker does not fulfill the Agreement, Speaker may be held liable for liquidated/un-liquidated damages and future participation in the event may be denied. TBME will not be liable for the fulfillment of this Agreement if non-delivery or delay in delivery is due to reasons beyond the control of TBME including but not limited to the following causes: fire, act of God, public enemy, war (declared or non-declared) or insurrections, strikes, the authority of the law, extreme weather condition, terrorism, disaster, civil disorder or acts of aggression. Non-delivery may also result if a reasonable fear exists for any one or more of such events occurring or threatening and making it inadvisable, illegal or impossible to hold the event. Speakers and others participating in TBME agree to indemnify and hold TBME and MG Beauty, Inc. harmless from and against any and all liability, loss, damage, injury, cost or expenses. TBME reserves the right to cancel this agreement, cancel scheduled classes, change class times and/or locations as deemed appropriate for the show overall. TBME reserves the right to promote Speaker and their company using, but not limited to the following: Speaker name, company name, logo, images, etc. Speaker agrees that TBME will not be liable in the event of any errors or omissions in the show preview, website, program and/or any related materials.

In consideration for, and conditioned upon the foregoing, TBME will provide Speaker with the following with respect to the applicable Event:

One Instagram post and two Instagram stories highlighting partnership
Invitation to include pre-approved marketing material for pro attendees’ gift bags
Invitation for Speaker staff/team members to participate in any and all portions of event as attendees
Reference to Speaker in post-event coverage in TBME online and/or print properties

The dates listed are solely as set forth herein and do not renew.
