TBME London Agreement – Styled Shoot Event Florist


TRADE AGREEMENT

The undersigned vendor (“ Vendor ”) and MG Beauty, Inc. DBA The Bridal Masterclass Experience (“ TBME ”) hereby agree to the following terms and conditions (this “ Trade Agreement ,” and together with the applicable TBME Terms of Trade Agreement (the “ Terms of Agreement ”) agreed to by the Vendor, which are incorporated by reference herein, the “ Agreement ”):

 

TRADE ITEMS / EVENT . Each of the parties hereby agrees to provide the respective trade items in connection with the event(s) (“ Event ”) described in Annex I attached hereto.

 

INDEMNIFICATION . In consideration for the goods and services provided by TBME to Vendor as referenced in this Trade Agreement, to the fullest extent permitted by law, the Vendor shall defend, indemnify and hold harmless TBME, its directors, officers, shareholders, employees, affiliates, agents, and representatives from and against any and all claims, demands, damages, liabilities, expenses, losses of every nature and kind, including but not limited to personal injury, property damage, death, attorney's fees and costs, arising out of or related to the negligent acts, misconduct, or omissions by Vendor, its agents, employees, subcontractors and consultants in connection with its obligations hereunder.

 

REFERENCES . If applicable, any use or display of materials with TBME’s (or any of its affiliates’) name, logo, branding, trademark, service mark, trade name or other identifying feature in any medium, now known or hereafter developed shall be subject to TBME’s prior written approval.

 

FULL AGREEMENT . This Agreement constitutes the full understanding of the parties. In the event of a conflict between any of the terms or conditions contained in this Trade Agreement and the Terms of Agreement, it is expressly understood and agreed that: (i) with respect to performance at the Event, the terms of this Trade Agreement shall govern and control, and (ii) with respect to any advertising services, products, or goods to be provided, delivered, or supplied by TBME, the Terms of Agreement shall govern and control.

 

GENERAL . The laws of the State of Delaware of the United States of America govern the validity of this Agreement, its interpretation and performance. This Agreement may not be modified or amended, except by a written agreement agreed to by both parties. This Agreement shall run concurrently with and shall not terminate or supersede any existing agreement between the parties unless specified herein. Furthermore, if any provision of this Agreement is found invalid, the remaining provisions are still effective.

ANNEX I

 

Event Trade Items

 

Vendor will provide TBME with the following with respect to the applicable Event:

Event Dates and Times:

March 23, 2022 from 8:30am-6pm

 

 

VENDOR TRADE ITEM(S)

  • Styled shoot and event floral design/assembly for March 23, 2022 for all event times
  • Design all floral components of the styled shoot and event including but not limited to:
    • Ceremony (large floral installation)
    • Tablescapes and small arrangements
    • Bouquets 
    • Flatlays
    • Additional components TBD such as escort card display, reception/lounge/bar setup, etc. based on styled shoot and event design
  • Design components confirmed at least 3 weeks in advance to ensure delivery for event
  • Floral and decor components approved by TBME will be ordered at no cost to Vendor
  • Additional floral and decor components not approved for purchase by TBME can be purchased/utilized at no cost to TBME
  • Storage and prep of all floral components shipped to Vendor unless otherwise specified
  • Staffing as needed for styled shoot components to be completed and ready to shoot by 12pm on March 23, 2022
  • Conversational explanation of assembly, design, etc. to those attending and assisting in assembly of floral designs
  • Any additional responsibilities detailed in electronic correspondence

 

In consideration for, and conditioned upon the foregoing, TBME will provide Vendor with the following with respect to the applicable Event:

March 23, 2022 from 8:30am-6pm

 

Approximate Event Set Up/Tear Down Dates and Times:

March 22, 2022 times TBD if needed

March 23, 2022 from 7am-8:30am and 6pm-10pm

 

 

TBME TRADE ITEM(S)

  • Reference to Vendor as a styled shoot and event florist in the pre/post social media coverage of the event
  • Vendor logo inclusion on event location landing page, company listing on event program and signage, and all other applicable event materials 
  • One Instagram post and two Instagram stories highlighting partnership 
  • Invitation to include pre-approved marketing material for both pro and consumer attendees’ gift bags
  • Invitation for Vendor staff/team members to participate in any and all portions of event as attendees
  • Reference to Vendor in post-event coverage in TBME online and/or print properties
  • Inclusion in behind the scenes footage to be posted on @the_bridal_masterclass ’s IG story
  • Any additional responsibilities detailed in electronic correspondence

 

The dates listed are solely as set forth herein and do not renew.
