TBME 2024 Venue Trade Agreement - Beacon Grand

TRADE AGREEMENT

The undersigned vendor (“ Vendor ”) and Streamline Social LLC DBA The Bridal Masterclass Experience (“ TBME ”) hereby agree to the following terms and conditions (this “ Trade Agreement ,” and together with the applicable TBME Terms of Trade Agreement (the “ Terms of Agreement ”) agreed to by the Vendor, which are incorporated by reference herein, the “ Agreement ”):

TRADE ITEMS / EVENT . Each of the parties hereby agrees to provide the respective trade items in connection with the event(s) (“ Event ”) described in Annex I attached hereto.

INDEMNIFICATION . In consideration for the goods and services provided by TBME to Vendor as referenced in this Trade Agreement, to the fullest extent permitted by law, the Vendor shall defend, indemnify and hold harmless TBME, its directors, officers, shareholders, employees, affiliates, agents, and representatives from and against any and all claims, demands, damages, liabilities, expenses, losses of every nature and kind, including but not limited to personal injury, property damage, death, attorney's fees and costs, arising out of or related to the negligent acts, misconduct, or omissions by Vendor, its agents, employees, subcontractors and consultants in connection with its obligations hereunder.

Each party shall indemnify, defend and hold harmless the other party and its affiliates (including, in the case of the Hotel, its owner and its affiliates), and its and their officers, directors, partners, agents, members, managers, owners and employees from and against any and all demands, claims, damages to persons or property, losses and liabilities, including reasonable attorneys fees (collectively "Claims") arising out of or caused by the indemnifying party's gross negligence or willful misconduct in connection with the provision of services or the use of the Hotel, except to the extent caused by the indemnified party's or agent's negligence or willful misconduct. Both parties further agree to defend, indemnify, and hold harmless the other party and its affiliates (including Hotel's owner and its affiliates), officers, directors, partners, agents, members, managers, owners and employees from and against all Claims arising out of or caused by any act or omission of any event attendees or any contractors hired or engaged by the group in connection with the event. TBME shall reimburse the Vendor for any damage to the Hotel caused by TBME or its contractors, and the Hotel reserves the right to deduct the amount of such damages from any advance deposits made by TBME. Nothing in this Section shall be deemed to waive any statutory limitation of liability available to either party, including innkeeper laws, nor shall it waive or be deemed to have waived, any defense which such party may have with respect to the Claims. The provisions of this Section shall survive any termination or expiration of this Agreement.

REFERENCES . If applicable, any use or display of materials with TBME’s (or any of its affiliates’) name, logo, branding, trademark, service mark, trade name or other identifying feature in any medium, now known or hereafter developed shall be subject to TBME’s prior written approval.

FULL AGREEMENT . This Agreement constitutes the full understanding of the parties. In the event of a conflict between any of the terms or conditions contained in this Trade Agreement and the Terms of Agreement, it is expressly understood and agreed that: (i) with respect to performance at the Event, the terms of this Trade Agreement shall govern and control, and (ii) with respect to any advertising services, products, or goods to be provided, delivered, or supplied by TBME, the Terms of Agreement shall govern and control.

GENERAL . The laws of the State of Delaware of the United States of America govern the validity of this Agreement, its interpretation and performance. This Agreement may not be modified or amended, except by a written agreement agreed to by both parties. This Agreement shall run concurrently with and shall not terminate or supersede any existing agreement between the parties unless specified herein. Furthermore, if any provision of this Agreement is found invalid, the remaining provisions are still effective.

ANNEX I

Event Trade Items

Vendor will provide TBME with the following with respect to the applicable Event:

Beacon Grand, 450 Powell Street, San Francisco, CA 94102

March 12th, 2024, 1pm-4pm local time

Event Set Up/Tear Down Dates and Times:

TBD based on logistical requirements

VENDOR TRADE ITEM(S)

Space rental and use in accordance with rental accommodations, staffing, cleaning/maintenance, and catering needs as required by TBME event scope.
Catering for the following accommodations based on above date/location:
- water/coffee/tea station: 12:30pm-3pm
- bites/drinks: 3pm-4pm (menu as determined by venue)
Allowance for vendor partners to participate as per their agreement with TBME.
Sleeping room (1) for March 11th-13th (2 nights, 1 king bed).

In consideration for, and conditioned upon the foregoing, TBME will provide Vendor with the following with respect to the applicable Event:

TBME TRADE ITEM(S)

Reference to Vendor as the official venue sponsor for designated dates/locations in the pre/post social media coverage of the event
Vendor's logo inclusion on event location landing page, company listing on all other applicable event promotion
Invitation to include pre-approved marketing material for attendees’ gift bags
Invitation to offer venue tours at the end of the event
Reference to Vendor in post-event coverage in TBME online
Inclusion in behind the scenes footage to be posted on @the_wedding_masterclass ’s IG story
Access to all media (photo/video) received from event photographers/videographers for Vendor use with proper credit
1 Short-form video content about the sleeping room stay highlighting any specified featured as determined in advance
