TBME 2023 Venue Trade Agreement - First Batch

TRADE AGREEMENT

The undersigned vendor (“ Vendor ”) and MG Beauty, Inc. DBA The Bridal Masterclass Experience (“ TBME ”) hereby agree to the following terms and conditions (this “ Trade Agreement ,” and together with the applicable TBME Terms of Trade Agreement (the “ Terms of Agreement ”) agreed to by the Vendor, which are incorporated by reference herein, the “ Agreement ”):

TRADE ITEMS / EVENT . Each of the parties hereby agrees to provide the respective trade items in connection with the event(s) (“ Event ”) described in Annex I attached hereto.

INDEMNIFICATION . In consideration for the goods and services provided by TBME to Vendor as referenced in this Trade Agreement, to the fullest extent permitted by law, the Vendor shall defend, indemnify and hold harmless TBME, its directors, officers, shareholders, employees, affiliates, agents, and representatives from and against any and all claims, demands, damages, liabilities, expenses, losses of every nature and kind, including but not limited to personal injury, property damage, death, attorney's fees and costs, arising out of or related to the negligent acts, misconduct, or omissions by Vendor, its agents, employees, subcontractors and consultants in connection with its obligations hereunder.

REFERENCES . If applicable, any use or display of materials with TBME’s (or any of its affiliates’) name, logo, branding, trademark, service mark, trade name or other identifying feature in any medium, now known or hereafter developed shall be subject to TBME’s prior written approval.

FULL AGREEMENT . This Agreement constitutes the full understanding of the parties. In the event of a conflict between any of the terms or conditions contained in this Trade Agreement and the Terms of Agreement, it is expressly understood and agreed that: (i) with respect to performance at the Event, the terms of this Trade Agreement shall govern and control, and (ii) with respect to any advertising services, products, or goods to be provided, delivered, or supplied by TBME, the Terms of Agreement shall govern and control.

GENERAL . The laws of the State of Delaware of the United States of America govern the validity of this Agreement, its interpretation and performance. This Agreement may not be modified or amended, except by a written agreement agreed to by both parties. This Agreement shall run concurrently with and shall not terminate or supersede any existing agreement between the parties unless specified herein. Furthermore, if any provision of this Agreement is found invalid, the remaining provisions are still effective.

District Winery: January 31st, 2023, 10am-5pm local time

Brooklyn Winery: March 7th, 2023, 10am-5pm local time

Chicago Winery: April 11th, 2023, 10am-5pm local time

Event Set Up/Tear Down Dates and Times:

District Winery: January 31st, 2023, 7am-10am and 5pm-7pm local time estimated and based on logistical requirements

Brooklyn Winery: March 7th, 2023, 7am-10am and 5pm-7pm local time estimated and based on logistical requirements

Chicago Winery: April 11th, 2023, 7am-10am and 5pm-7pm local time estimated and based on logistical requirements

VENDOR TRADE ITEM(S)

Space rental and use in accordance with rental accommodations, staffing, cleaning/maintenance, and catering needs as required by TBME event scope.
Catering for the following accommodations based on above dates/locations:
- buffet and/or served lunch, late afternoon bites and drinks (approximately 3 bottles of red wine, 2 bottles of white wine), water/coffee/tea station all day
Allowance for vendor partners to participate as per their agreement with TBME.

In consideration for, and conditioned upon the foregoing, TBME will provide Vendor with the following with respect to the applicable Event:

District Winery: January 31st, 2023, 7am-10am and 5pm-7pm local time estimated and based on logistical requirements

Brooklyn Winery: March 7th, 2023, 7am-10am and 5pm-7pm local time estimated and based on logistical requirements

Chicago Winery: April 11th, 2023, 7am-10am and 5pm-7pm local time estimated and based on logistical requirements

TBME TRADE ITEM(S)

Reference to Vendor as the official venue sponsor for designated dates/locations in the pre/post social media coverage of the event
Vendor's logo inclusion on event location landing page, company listing on event program and signage, and all other applicable event materials
Invitation to include pre-approved marketing material for attendees’ gift bags
Reference to Vendor in post-event coverage in TBME online and/or print properties
Inclusion in behind the scenes footage to be posted on @the_bridal_masterclass ’s IG story
Access to all media (photo/video) received from event photographers/videographers for Vendor use with proper credit
