TBME London Agreement – Event Planner/Designer - Assistant


TRADE AGREEMENT

The undersigned vendor (“ Vendor ”) and MG Beauty, Inc. DBA The Bridal Masterclass Experience (“ TBME ”) hereby agree to the following terms and conditions (this “ Trade Agreement ,” and together with the applicable TBME Terms of Trade Agreement (the “ Terms of Agreement ”) agreed to by the Vendor, which are incorporated by reference herein, the “ Agreement ”):

 

TRADE ITEMS / EVENT . Each of the parties hereby agrees to provide the respective trade items in connection with the event(s) (“ Event ”) described in Annex I attached hereto.

 

INDEMNIFICATION . In consideration for the goods and services provided by TBME to Vendor as referenced in this Trade Agreement, to the fullest extent permitted by law, the Vendor shall defend, indemnify and hold harmless TBME, its directors, officers, shareholders, employees, affiliates, agents, and representatives from and against any and all claims, demands, damages, liabilities, expenses, losses of every nature and kind, including but not limited to personal injury, property damage, death, attorney's fees and costs, arising out of or related to the negligent acts, misconduct, or omissions by Vendor, its agents, employees, subcontractors and consultants in connection with its obligations hereunder.

 

REFERENCES . If applicable, any use or display of materials with TBME’s (or any of its affiliates’) name, logo, branding, trademark, service mark, trade name or other identifying feature in any medium, now known or hereafter developed shall be subject to TBME’s prior written approval.

 

FULL AGREEMENT . This Agreement constitutes the full understanding of the parties. In the event of a conflict between any of the terms or conditions contained in this Trade Agreement and the Terms of Agreement, it is expressly understood and agreed that: (i) with respect to performance at the Event, the terms of this Trade Agreement shall govern and control, and (ii) with respect to any advertising services, products, or goods to be provided, delivered, or supplied by TBME, the Terms of Agreement shall govern and control.

 

GENERAL . The laws of the State of Delaware of the United States of America govern the validity of this Agreement, its interpretation and performance. This Agreement may not be modified or amended, except by a written agreement agreed to by both parties. This Agreement shall run concurrently with and shall not terminate or supersede any existing agreement between the parties unless specified herein. Furthermore, if any provision of this Agreement is found invalid, the remaining provisions are still effective.

ANNEX I

 

Event Trade Items

 

Vendor will provide TBME with the following with respect to the applicable Event:

Event Dates and Times:

March 23, 2022 from 8:30am-6pm

 

 

 

VENDOR TRADE ITEM(S)

Assisting with the following:

  • Design components including decor order to be confirmed at least 4 weeks in advance to ensure delivery for the event
  • Providing event planning/design and on-site supervision for March 23, 2022 for all event components including set up and breakdown on March 22-24, 2022 including but not limited to:
    • Floor design of layout for set up
    • Stylized lunch including tableware rentals
    • Afternoon pro networking event floor layout/design for snacks/appetizers and drinks area on March 23, 2022
    • Breakfast area for March 23, 2022
    • Lunch area for March 23, 2022
    • Registration table for March 23, 2022
  • Assist in sourcing vendors for the schedule components including but not limited to:
    • Catering: breakfast, lunch, snacks, appetizers, coffee bar, drinks
    • Event florist to execute your floral design vision
    • Event photographer and videographer
    • Rental companies
    • Back of house volunteer staff (as needed)
    • Retail bridal store(s) for styled shoots and couples event
    • Models for styled shoots
    • Tabletop rentals
    • Stationery/signage: printed schedules, signs for registration, small signs for styled shoots
    • Calligrapher
    • Evening couples event vendors: catering, decor, gift bags/raffle donations
    • Venue locations
    • Hotel sponsor
    • Speaker dinner
  • Any additional responsibilities detailed in electronic correspondence

 

In consideration for, and conditioned upon the foregoing, TBME will provide Vendor with the following with respect to the applicable Event:

March 22, 2022 times TBD if needed

March 24, 2022 times TBD if needed

 

TBME TRADE ITEM(S)

  • Reference to Vendor as the assistant event planner in the pre/post social media coverage of the event
  • Invitation for Vendor staff/team members to participate in any and all portions of event as attendees
  • Reference to Vendor in post-event coverage in TBME online and/or print properties
  • Inclusion in behind the scenes footage to be posted on @the_bridal_masterclass ’s IG story
