Passport 2025 NYC Agreement – Event Planner/Designer
TRADE AGREEMENT
The undersigned vendor (“ Vendor ”) and Streamline Social LLC DBA The Wedding Masterclass (“ TWM ”) hereby agree to the following terms and conditions (this “ Trade Agreement ,” and together with the applicable TWM Terms of Trade Agreement (the “ Terms of Agreement ”) agreed to by the Vendor, which are incorporated by reference herein, the “ Agreement ”):
TRADE ITEMS / EVENT . Each of the parties hereby agrees to provide the respective trade items in connection with the event(s) (“ Event ”) described in Annex I attached hereto.
INDEMNIFICATION . In consideration for the goods and services provided by TWM to Vendor as referenced in this Trade Agreement, to the fullest extent permitted by law, the Vendor shall defend, indemnify and hold harmless TWM, its directors, officers, shareholders, employees, affiliates, agents, and representatives from and against any and all claims, demands, damages, liabilities, expenses, losses of every nature and kind, including but not limited to personal injury, property damage, death, attorney's fees and costs, arising out of or related to the negligent acts, misconduct, or omissions by Vendor, its agents, employees, subcontractors and consultants in connection with its obligations hereunder.
REFERENCES . If applicable, any use or display of materials with TWM’s (or any of its affiliates’) name, logo, branding, trademark, service mark, trade name or other identifying feature in any medium, now known or hereafter developed shall be subject to TWM’s prior written approval.
FULL AGREEMENT . This Agreement constitutes the full understanding of the parties. In the event of a conflict between any of the terms or conditions contained in this Trade Agreement and the Terms of Agreement, it is expressly understood and agreed that: (i) with respect to performance at the Event, the terms of this Trade Agreement shall govern and control, and (ii) with respect to any advertising services, products, or goods to be provided, delivered, or supplied by TWM, the Terms of Agreement shall govern and control.
GENERAL . The laws of the State of Delaware of the United States of America govern the validity of this Agreement, its interpretation and performance. This Agreement may not be modified or amended, except by a written agreement agreed to by both parties. This Agreement shall run concurrently with and shall not terminate or supersede any existing agreement between the parties unless specified herein. Furthermore, if any provision of this Agreement is found invalid, the remaining provisions are still effective.
